Terms of Service

Welcome to Quantinal. These Terms of Service (“Terms”) govern your access to and use of the Quantinal platform and any related services (collectively, the “Services”). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. Quantinal is under active development, and the platform, its features, and these Terms may evolve over time.

1. Account Registration & Eligibility

To use Quantinal, you must create an account with accurate, complete information. You must be at least 18 years old and have the legal capacity to enter into binding agreements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether authorized by you or not
  • Promptly notifying us of any unauthorized access or security breaches
  • Ensuring your contact and billing information remains current

We may refuse registration or restrict account access where we reasonably believe information provided is inaccurate or incomplete, or where necessary to comply with legal requirements or protect the integrity of the platform.

2. Platform Services & Service Evolution

Quantinal is an AI-powered intelligence platform. The platform enables you to configure automated intelligence monitoring, upload data to secure storage, and receive analysis outputs. You may access outputs through available interfaces, which may include a web console, API, webhooks, or other methods as offered from time to time.

The platform is continuously evolving. You acknowledge and agree that:

  • Services, features, capabilities, and user interfaces may be modified, improved, deprecated, or removed at any time without prior notice
  • AI models, skills, tools, and processing pipelines may be updated, replaced, or reconfigured at our discretion to improve quality and performance
  • The platform as it exists at any point in time does not represent a commitment to maintain that exact functionality indefinitely
  • We may introduce new features, change existing workflows, or restructure service offerings as the platform matures
  • Some features may be in early stages of development and may vary in stability, performance, or completeness — feature maturity may differ across different parts of the Services

We will make reasonable efforts to communicate significant changes through platform notifications, email, or our documentation. However, minor adjustments, performance improvements, and iterative updates may occur without individual notice.

3. Credits & Payment Terms

Quantinal operates on a credit-based billing system:

  • Pricing: Credits are purchased at the prevailing USD rate as displayed at the time of purchase
  • Minimum Purchase: A minimum purchase amount applies, as specified at checkout
  • Expiration: Credits do not expire unless your account is inactive for 12 consecutive months
  • Recurring Billing: We may offer automatic top-up or recurring billing options to help maintain your balance. If enabled, you authorize us to charge your payment method at the intervals and amounts you configure

Credits are for platform access as it currently exists. When you purchase credits, you are paying for access to the platform's Services in their present form. Credits do not entitle you to any specific future features, capabilities, or service levels. The platform may evolve — features may be added, modified, or removed — and your credits remain valid for the Services as they exist at the time of use.

Payment processing is handled securely through our third-party payment provider. You agree to comply with all terms and conditions of the payment provider. Fraudulent purchases, chargebacks, or payment disputes initiated in bad faith may result in account suspension pending investigation.

4. Refund Policy

Credits are generally non-refundable. All credit purchases are final once credited to your account. We do not issue refunds based on:

  • Changes in platform features, services, or capabilities
  • Dissatisfaction with analysis outputs, scores, or AI-generated content
  • Unused credits remaining in your account
  • Changes in your personal circumstances or business needs
  • Service modifications that no longer meet your expectations at time of purchase

Exceptions: We will consider refunds or credit adjustments in the following cases:

  • Platform errors: If credits were consumed due to a verified platform bug, system malfunction, or billing error on our part
  • Duplicate charges: If you were charged multiple times for the same purchase due to a processing error
  • Unauthorized transactions: If your account was compromised and credits were purchased or consumed without your authorization (subject to our investigation)

Refund requests must be submitted through our website at www.quantinal.ai within 30 days of the event. We will review each request on a case-by-case basis and respond as soon as reasonably practicable. The determination of whether a refund is warranted is at our reasonable discretion, taking into account the circumstances and any supporting evidence you provide.

5. Usage Costs

Credits are consumed based on your usage. Different AI capabilities, processing modes, data connections, and storage configurations may cost different amounts. Current pricing is displayed in your dashboard and at checkout.

We reserve the right to adjust pricing at any time. We will provide at least 30 days' notice to active users before material pricing changes take effect. Pricing details are maintained in our documentation at docs.quantinal.ai.

6. Acceptable Use Policy

You agree to use Quantinal only for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

  • Violating any applicable laws, regulations, or third-party rights
  • Scraping or collecting data in violation of applicable website terms of service or laws
  • Uploading malicious content, malware, or harmful files
  • Attempting to circumvent rate limits, security measures, or access controls
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code or underlying algorithms of the platform
  • Using the platform for harassment, defamation, or illegal surveillance
  • Reselling, sublicensing, or redistributing platform access or outputs without authorization
  • Systematic or automated extraction of platform outputs for the purpose of building a competing product or service
  • Impersonating others or misrepresenting your identity or affiliation
  • Interfering with or disrupting the integrity or performance of the Services

Violations of this policy may result in a warning, temporary suspension, or permanent termination of your account, depending on the severity and nature of the violation. In cases of severe or repeated violations — including activity that threatens the security of the platform or other users — we may take immediate action, including suspension without prior notice.

7. Intellectual Property Rights

Our Property: Quantinal and its licensors retain all rights, title, and interest in and to the platform, including all software, algorithms, models, user interfaces, documentation, trademarks, and related intellectual property. These Terms do not grant you any ownership rights in our intellectual property. All rights not expressly granted herein are reserved.

Your Content: You retain ownership of data you upload and content you create (“Your Content”). By uploading content, you grant Quantinal a limited, non-exclusive, worldwide, royalty-free license to process, store, and analyze Your Content solely to provide and improve our Services. This license terminates when you delete Your Content or close your account, except as required for backup, legal, or compliance purposes.

Outputs: Analysis outputs generated using Your Content are yours. We may use aggregated, anonymized, and de-identified usage data and metadata — which does not include Your Content — to improve, develop, and enhance our Services.

Feedback: If you provide suggestions, ideas, or feedback about our Services, you grant us an unrestricted, perpetual, irrevocable license to use such feedback for any purpose without obligation to you.

8. Disclaimer of Warranties

Quantinal provides intelligence outputs as informational content only. We make no guarantees regarding:

  • The accuracy, completeness, reliability, or timeliness of any analysis outputs
  • The availability or uninterrupted operation of our Services
  • The suitability of our Services for any particular purpose
  • That our Services will meet your specific requirements or expectations
  • That the platform's features, capabilities, or services will remain unchanged over time
  • That any specific functionality or tool available today will remain available in the future
  • That outputs are free from errors, omissions, or biases inherent in AI models or underlying data sources

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU USE THE SERVICES AT YOUR OWN RISK. You should exercise independent professional judgment for any decisions based on our outputs and should not rely on them as the sole basis for any critical action.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANTINAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages of any kind
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Decisions made or actions taken based on analysis outputs or platform content
  • Third-party actions, content, or services accessed through our platform
  • Service changes, modifications, deprecations, or discontinuations
  • Platform downtime, whether scheduled or unscheduled
  • Unmet expectations arising from changes to features, capabilities, or service offerings
  • Differences between the platform at the time of credit purchase and at the time of credit use

Damages Cap: OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO QUANTINAL DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED US DOLLARS (USD $500). THIS LIMITATION APPLIES REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10. Account Termination

By You: You may delete your account at any time through your account settings or by contacting us. Upon deletion, we will remove your data in accordance with our Privacy Policy.

By Us: We may suspend or terminate your account if you materially violate these Terms, engage in fraudulent or abusive activity, or if required by law. We will provide reasonable notice and, where appropriate, an opportunity to address the issue before permanent termination — except where immediate action is necessary to protect the platform, other users, or comply with legal obligations.

Effect of Termination: Upon termination, your right to use the Services ceases immediately. If your account is terminated by us for reasons other than a violation of these Terms, we may, at our reasonable discretion, issue a credit refund for any substantial unused balance. If your account is terminated due to a violation of these Terms, unused credits are forfeited. Sections 7 through 9, 11 through 13, and 15 shall survive any termination or expiration of these Terms.

11. Indemnification

You agree to indemnify, defend, and hold harmless Quantinal and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

12. Force Majeure

Quantinal shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, war or terrorism, labor disputes, internet or telecommunications failures, cyberattacks, third-party service provider outages, or utility failures. During any such event, our obligations under these Terms shall be suspended for the duration of the event.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Hong Kong SAR, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Informal Resolution: Before initiating any formal legal proceedings, you agree to first contact us through our website and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly through this process.

14. Changes to Terms

We may update these Terms at any time. For material changes, we will notify you via email or platform notification at least 30 days before they take effect. For non-material changes (such as clarifications or formatting), updates may take effect immediately upon posting. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Services and may close your account.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Quantinal regarding your use of the Services and supersede all prior agreements or understandings.
  • Severability: If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
  • Class Action Waiver: To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of any class, consolidated, or representative action.
  • Electronic Communications: By using the Services, you consent to receive communications from us electronically, including emails, platform notifications, and in-app messages. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
  • No Third-Party Beneficiaries: These Terms do not confer any rights or benefits on any third party.
